Harbinger Motors Inc. is a Southern California-based electric vehicle manufacturer on a mission to transform the automotive and transportation industries, bringing to market EVs developed from the ground up to address the needs of the Medium Duty vehicle industry. Job Overview:

We are looking for an enthusiastic and skilled Corporate Paralegal or Contract Administrator to support our teams and to oversee contract, corporate, regulatory, grants, and intellectual property management and litigation support. The ideal candidate will have a strong background in contract negotiation, drafting, and management, with a close attention to detail and a proactive approach to problem-solving. The role requires regular collaboration with many teams across our organization to ensure compliance with guidelines, optimization of terms and processes, and mitigation of risks.

What You'll Do:

  • Contract Support and Management:
    • Draft, review, and negotiate a wide range of contracts, such as non-disclosure agreements, customer agreements, and supplier contracts to ensure compliance with company policies, contracting guidelines, and legal requirements.
      Assist in the creation and maintenance of standard contract templates and resources.
      Lead and support management and implementation of contract lifecycle management platforms and other technology tools and compliance software to streamline legal operations.
  • Regulatory and Compliance:
    • Conduct legal research on laws, regulations, and requirements applicable to the company. Prepare reports and presentations for internal teams and senior management that summarize research findings and provide actionable insights.
      Prepare compliance documentation required for manufacturing and selling electric vehicles and automotive components in various markets. Assist in the application and maintenance of necessary permits and licenses for operating in the automotive sector.
      Monitor changes in relevant legislation, industry-specific laws, and regulatory landscapes that affect the company's operations, particularly in the automotive and tech sectors
  • Litigation Support:
    • Support litigation tasks, regulatory inspections, and audits. Organize documents, evidence, briefs, and appendices for attorney review and case preparation. Liaise with external lawyers to timely track and manage ongoing litigation, ensuring all deadlines are met.
  • Grants and Incentives:
    • Identify and apply for government grants, incentives, and tax benefits applicable to the research, development, production, and sale of electric vehicles and component technologies. Manage the reporting and compliance requirements associated with these grants and incentives to ensure that all conditions are met and benefits are maximized.
  • Corporate Governance and Equity Management:
    • Work closely with HR and finance teams to ensure accurate and timely reporting of equity transactions, including stock option grants, exercises, and transfers and assist in management of shareholder relations, including preparing notices and updates for shareholders regarding equity changes or investment opportunities.
      Assist in preparation for corporate meetings, including drafting agendas, minutes, resolutions, and consents for Board and shareholder meetings.
      Maintain corporate records and ensure proper filing of reports and other statutory documents, coordinating with external counsel as needed.
  • Intellectual Property:
    • Support patent and trademark filing processes, including preparation of documents, correspondence with the patent office, and coordination with external IP attorneys. Maintain up-to-date inventories of the company's intellectual property assets, including patents, trademarks, copyrights, and trade secrets.
  • General Support:
    • Collaborate with internal stakeholders, including legal, supply chain, finance, IT and operations teams, to address legal and contractual issues, resolve disputes, and increase efficiencies.
      Build and provide trainings and presentations to team members, such as on contracting processes and systems, data protection, and intellectual property.
      Provide general support for the legal team, as needed, including with respect to administrative tasks.

Who You Are:

  • Bachelor's degree in Business Administration, Law, paralegal studies, or related field.
  • 5+ years of experience in reviewing and managing contracts and regulatory compliance as a Paralegal in a corporate setting, ideally in a start-up and high growth environment. Experience in the automotive industry or similar hardware sector preferred.
  • Strong understanding of contract law and legal principles, with demonstrated experience in interpreting and drafting contracts.
  • Excellent communication and interpersonal skills, with the ability to build relationships and negotiate effectively with internal and external stakeholders.
  • Detail-oriented with strong organizational and analytical skills.
  • Strong knowledge of corporate and securities laws and regulations, including familiarity with state, federal, and local filing and compliance requirements
  • Ability to work independently and collaboratively in a team environment.
  • Comfortable with managing multiple priorities in a fast-paced environment.
  • Skilled in reviewing, drafting, and revising legal documents.
  • High proficiency in corporate software (contract management software, Netsuite, DocuSign, legal and operational databases, etc.) and Microsoft Office Suite.
